Osprey Legends Bylaws

  

ARTICLE 1: NAME

This organization shall be known as the Stockton University men's Osprey Lacrosse Legends Group (OLLG). Once incorporated the name shall change to the Stockton University Men's Osprey Lacrosse Legends Group, Incorporated.

ARTICLE 2: OBJECTIVE

The OLLG core mission is to generate greater support for the Stockton University men's lacrosse program. This mission will be achieved by building educational, mentoring, financial, and networking assistance to expressly benefit the Stockton University men's lacrosse program, the coaching staff, and past, current and future scholar- athletes in the program.

ARTICLE 3: INTENTIONS

The OLLG is an educational organization whose members are committed to realizing the following intentions:

1. Improving the educational experience of current and future scholar athletes through mentoring common networking, and fundraising;

2. Increasing the financial contributions from Stockton University men's lacrosse alumni to expressly benefit the Stockton University men's lacrosse program;

3. Improving networking and communications within and among the Stockton University men's lacrosse program, Stockton University men's lacrosse parent organizations, the Stockton University administration and leadership, and the Osprey Lacrosse Legends Group;

4.  Increasing the financial contribution from businesses and other entities dedicated to realizing the group mission.

OLLG was founded on the traditional principles and values known as “honoring the medicine game.” These principles and values honor our coaches, players, parents and the tradition of the game, by honoring the game, one another, and emphasizing integrity by being part of the game. We will continue to grow the Osprey Lacrosse Legends Group by instilling the tradition, principles, and values for every person involved in our group and the medicine game at Stockton University.

ARTICLE 4: MEMBERSHIP

SECTION 1:

OLLG shall have members designated as follows: regular and honorary. Only regular members have the right to hold elected office, vote and serve on committees. Members in all categories shall have the right to receive publications, receive electronic notification of OLLG events, and have access to members only portions of the OLLG website. No membership or right arising from membership shall be transferred.

SECTION 2:

A Regular Member is a person who is a former player, coach, or statistician, from January 1, 1974, to the present. An Honorary Member is a person to whom such status is granted by vote of the Officer Group of OLLG in recognition of either status within Stockton University, such as members of the university administration or parents of those persons who qualify as a “regular member” as defined above. Honorary Members are not required to pay dues.

SECTION 3:

Those members who have paid the required dues in accordance with these bylaws and are not suspended shall be members in good standing.

SECTION 4:

A membership shall terminate upon the occurrence of any of the following events:

1. Resignation of the member upon written notification to the OLLG Officer Group.

2. Failure of a regular member to pay annual dues within 30 days after they become due and payable; and

3. The occurrence of any event that renders the regular member ineligible for membership or failure to satisfy membership requirements.

Reinstatement to membership shall be through the normal application process.

SECTION 5:

Any member may be suspended or expelled based on a good faith determination, by the OLLG Officer Group, at any regular scheduled meeting that such member has failed in a material and serious degree to observe the rules of conduct of OLLG. A person whose membership is suspended shall not be a member during the period of suspension. The suspension shall last until the next regularly scheduled OLLG officers meeting at which time the OLLG officers shall decide by a majority vote, to end the suspension of the individual and reinstate such individual to full membership or to terminate the individual's association with OLLG. Any individual whose membership has been terminated shall receive a prorated monetary refund of the individual's annual dues.

Examples of conduct that would give rise to sanctions, suspensions, or expulsion include but are not limited to the following:

1. Misappropriation of OLLG resources.

2. Personal attacks on or between members of any category either verbal or written.

3. Making racist, sexist, or other bigoted and/or inappropriate statements using OLLG social media such as Facebook, “X”, “Bluesky”, Instagram, etc.

To be actionable under these bylaws such conduct must rise to a level that any reasonable person reading such statements would necessarily acknowledge the statement as falling into either category two or three immediately above.

ARTICLE 5: FISCAL YEAR AND DUES

SECTION 1

The fiscal year of OLLG shall be July 1 through June 31st.

SECTION 2

The elected officers shall determine an appropriate dues structure for membership in OLLG which will be reviewed by the elected officers from time to time but at minimum every two years. Dues for members shall be $100.00 per year, subject to amendment by a membership vote in the manner for voting as described in Article 10; section 5 below as financial needs arise. Dues for new graduates shall be half of the dues assessed a regular member for two years from their graduation date from Stockton University.  A new graduate for this purpose is defined as a regular member for the two years after their graduation date and the termination of their eligibility to continue as a player and while continuing to be on the Stockton University Men’s Lacrosse player roster.

ARTICLE 6: OFFICERS AND APPOINTEES

SECTION 1

The elected officers of OLLG shall be President, Vice-President, Secretary, Treasurer and Deputy Treasurer (The Treasury Department). Appointed positions may include but are not limited to a Executive Director, Legal Advisor, University Administration Liason. Other appointments shall be made at the discretion of the President.

Terms for all officers, elected and appointed shall begin on July 1st and end on June 30th of each fiscal year.

The immediate past- President shall assume the role of parliamentarian and shall also serve on the board of elected officers. All officers and appointees listed in this article shall perform the duties herein specified.

SECTION 2

The President shall appoint an Executive Director, Legal Advisor, Newsletter Editor, Social Media Director as well as other directorship positions as deemed necessary by the Officer Group.

The President shall appoint Chairpersons of various committees as deemed necessary and appropriate by the Officer Group including but not limited to a mentorship committee and fundraising committee.

SECTION 3

All candidates for elected positions must be regular members for six months preceding any election.

SECTION 4

Election shall be by a simple majority vote of the members present at the November general membership meeting, at which a quorum is present.

SECTION 5

Newly elected officers shall be installed by the outgoing President at the final meeting of the fiscal year and shall assume all duties on July 1st and shall serve through June 30th. The President and Vice-President can serve a maximum of three consecutive one- year terms in each elected position. All other elected officers can serve consecutive one- year terms without limitation. Appointed officers serve a one year term but may be reappointed each year at the pleasure of the President.

SECTION 6

No elected officers shall hold two or more elected positions simultaneously. Individuals may hold one or more appointed positions but shall have only one vote per individual.

SECTION 7

The President shall appoint interim officers and advisors, both elected and appointed, to fill vacant positions.

SECTION 8

OLLG shall have the right to purchase and maintain insurance on behalf of OLLG and its officers, both elected and appointed and other agents; indemnifying them against any liability incurred by them in connection with the business of OLLG.

SECTION 9

OLLG shall reimburse officers, committee chairpersons, members, and all other persons for all expenses actually and reasonably incurred by them in connection with the business of OLLG. OLLG shall not reimburse such persons described above for travel expenses incurred by them in connection with the business of OLLG.

ARTICLE 7: DUTIES OF ELECTED AND APPOINTED OFFICERS

SECTION 1

The President shall preside over all meetings of OLLG and of the Officer Group. The President shall direct members and committees as deemed necessary to promote OLLG activities and interests, shall be the official representative of OLLG and shall cast the deciding vote in the event of a tie.

SECTION 2

The Vice-President shall exercise the duties of the President in the President's absence, shall act as membership chair, and shall ensure that a current membership roster is continually updated and available to members upon request. As membership chair, the Vice-President shall maintain and make available a copy of these bylaws and shall ensure with the cooperation of the newsletter editor and social media director that these bylaws in their current form are available electronically on any official OLLG website.

SECTION 3

The Treasury Department (comprised of the Treasury Department and Deputy Treasury Department) shall collect all monies due OLLG, ensure the timely payment of bills, and maintain proper and correct accounts of all receipts and disbursements. The Treasury Department shall provide a report of OLLG financial status at monthly officer meetings and monthly membership meetings. The report shall include a budget. The Treasury Department shall prepare and submit annual financial statements to a tax professional who need not be an OLLG member for the annual preparation and submission of any required income tax return, state and federal. It is mandatory that tax and information returns for the state of incorporation as well as tax returns for the federal government be filed annually with the state of incorporation and the Internal Revenue Service. The Treasury Department shall maintain reserves, equal to or greater than the management, general, and administrative expenses averaged over the preceding three years and shall confirm this to the OLLG Officer Group at the first Officer Group meeting of the year. All OLLG disbursements must be approved by the Officer Group. In addition, all disbursements in excess of $600.00 for any one expenditure must be approved by a simple majority vote of the voting members present at a membership meeting at which a quorum is present. All checks must be signed by either the President, the Vice-President or the Treasury Department.

SECTION 4

The Secretary Shall keep the minutes of all OLLG meetings, present these minutes for approval, handle all OLLG correspondence, and notify the membership of any special meetings called by the President.

SECTION 5

A legal advisor must be licensed to practice law in one or more states within the United States of America. The legal advisor does not represent any individual member, officer or Officer Group, nor OLLG. The legal advisor will not file documents with a Court, nor attend or appear in Court on behalf of OLLG, its officers or members. The legal advisor will draft such documents and provide general legal expertise in matters the legal advisor deems appropriate. 

SECTION 6

The Newsletter Editor shall ensure the bimonthly publication and distribution of OLLG’s newsletter, keeping members informed of all OLLG activities.

SECTION 7

The Executive Director shall be responsible for communicating to those persons and entities within the University administration with oversight over the Stockton University Men’s Lacrosse Team and oversight over athletic booster organizations. 

SECTION 8

The President may as need requires also appoint a social media director. The social media director shall be responsible for creating and maintaining a dedicated website/webpage specific to the OLLG containing all forms necessary to apply for membership to OLLG, links to other entities and organizations as deemed necessary and appropriate by the OLLG Officer Group, a copy of these bylaws, and at the direction of the Officer Group shall create and maintain social media accounts such as Facebook, “X”, Instagram, and Bluesky, etc.

SECTION 9

The President may create committees and appoint persons to “chair” such committees as deemed necessary and appropriate to further the interests and purposes of the OLLG. Such chairpersons will serve at the discretion and pleasure of the President and the committees will continue to function as long as is necessary. The Chair of each committee thus formed will have the responsibility with the approval of the OLLG Officer Group to identify members to serve on the committee. 

ARTICLE 8: OFFICER GROUP

SECTION 1

The Officer Group includes all elected officers and such appointed persons including the Executive Director, University Liaison, Legal Advisor, Newsletter Editor and Social Media Director. Five members of the Officer Group shall constitute a quorum and an Officer Group meeting.

SECTION 2

The Officer Group shall meet no less than once each sixty (60) days.

SECTION 3

The Officer Group shall accomplish OLLG planning and shall make recommendations to the membership for approval at OLLG general membership meetings.

SECTION 4

Any Member may attend Officer Group meetings as an observer, and may, at the discretion of the President, address the Officer Group at such meeting.

ARTICLE 9: Board of Trustees

The Elected Board of Trustees for the Osprey Lacrosse Legends Group serves as a guiding force, ensuring continuity, growth, and an enduring legacy of leadership development. Composed of no fewer than three trustees and no more than five, the OLLG Board of Trustees operates with staggered terms, fostering both stability and fresh perspectives.

Each trustee carries a unique tenure:

  • One trustee serves a three-year term, anchoring the      group in long-term vision and sustained progress.
  • One trustee serves a two-year term, bridging      tradition with innovation, ensuring alignment with the group’s evolving      mission.
  • One trustee serves a one-year term, bringing new      energy and insight while learning the nuances of leadership in our      esteemed community.

Should additional trustees be elected, their terms will align with this staggered framework, reinforcing a rhythmic cycle of renewal and legacy preservation. The trustees collaborate, innovate, and uphold the principles of shared leadership, ensuring that the Osprey Lacrosse Legends Group thrives for generations to come.

ARTICLE 10: MEETINGS

SECTION 1

All meetings of OLLG shall be held virtually at a date and time to be determined by the Officer Group and published to the general membership at least seven days in advance of said meeting.

SECTION 2

A general membership meeting shall be held on the first Thursday of each month from 6:00 pm – 7:00 pm Eastern. 

SECTION 3

Special meetings may be called by the President at any time. Notice of such meetings shall be provided to the membership at least five business days in advance.

SECTION 4

At a general or special meeting five percent (5%) of the general membership shall constitute a quorum.

SECTION 5

All matters brought before any meeting, at which a quorum is present, shall be decided by a simple majority vote of those in attendance, unless specified otherwise in these bylaws.

SECTION 6

The Parliamentary authority of the OLLG shall be Roberts Rules of Order, Revised. OLLG shall maintain a copy of this publication and the Parliamentarian shall be its custodian. Maintenance of this publication on the OLLG website shall satisfy this obligation.

ARTICLE 11: COMMITTEES

SECTION 1

Mentorship and Fundraising shall be standing committees. Special committees can be created as deemed necessary and appropriate to further the interests and purpose(s) of OLLG. Special committees shall be disbanded upon completion of their duties.

ARTICLE 12: DUTIES OF COMMITTIEES

SECTION 1

The Mentorship Committee shall be available to past and current members of the Stockton University Men’s Lacrosse Team to provide guidance and direction both professionally and educationally.  It shall also promote, and advance networking opportunities as permitted by NCAA rules, regulations, and bylaws pertaining to such activities.

SECTION 2

The Fundraising Committee shall create fundraising programs and opportunities in compliance with all applicable NCAA rules, regulations and bylaws pertaining to such activities.

SECTION 3

The responsibility of any special committee shall be determined by the OLLG Officer Group but must comply with all NCAA rules, regulations and bylaws pertaining to such activities. 

ARTICLE 12: DISSOLUTION

SECTION 1

If for any reason the OLLG is dissolved, disbanded, or discontinued, all assets shall be donated to the Stockton University Foundation, directed for the use and the benefit of the Stockton University Men's Lacrosse team.

ARTICLE 13: AMENDMENTS

SECTION 1

Amendments of these bylaws must be recommended in writing by at least 5 OLLG members or proposed by a bylaws committee and approved for the recommendation to the general OLLG membership by the Officer Group.

SECTION 2

The proposed amendment(s) shall be published in the OLLG newsletter and on the website. Said proposed amendment shall be delivered to each OLLG member electronically at least five business days before the proposed amendment is voted upon.

SECTION 3

A simple majority vote of those OLLG members in attendance at a regularly scheduled general membership meeting, at which a quorum is present, shall be required to pass an amendment to these bylaws.
